These Terms of Service ("Terms") are an agreement between you, the business or individual creating or using a YunaChat account ("you", the "Client"), and YUNARIS TECHNOLOGIES, trading as YunaChat ("we", "us"), the business behind yunachat.com and app.yunachat.com. By creating an account or using the service you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the service.
1. What YunaChat is, and what it is not
YunaChat is software. It connects to your messaging channels and uses artificial intelligence to answer your customers, share your catalog, capture leads, and hand conversations to your team. The sales you make remain entirely your own: YunaChat is not a party to your transactions, is not a marketplace, is not a payment provider, and is not the merchant of record. You are solely responsible for the products and services you sell, for their legality and quality, for pricing, delivery, taxes, and for your own compliance with the laws that apply to your business.
2. Your account
- The service is for business use. You must provide accurate account and business information and keep it current.
- You are responsible for safeguarding your login credentials and for all activity under your account.
- You must have the authority to connect each messaging account, page, or number you connect.
3. Subscriptions and billing
- YunaChat is sold as a paid subscription, billed monthly or annually at the prices shown at the time of purchase. There is no free tier.
- Plans differ by limits and features as described on the pricing page. We may change prices or plans with notice; changes apply from your next billing cycle.
- Taxes, where applicable, are your responsibility unless stated otherwise.
4. The 14-day money-back guarantee
- Every payment transaction (a new subscription, a renewal, or a plan change) carries its own 14-day money-back window.
- Within 14 days of a transaction you may cancel and request a full refund of that transaction, no questions asked.
- After the 14-day window: annual plans are refunded pro rata for whole unused months; monthly plans are not refundable.
- The guarantee is per transaction, not per account, and abuse of the guarantee (for example repeated claim cycles designed to consume the service without paying) may lead to refusal of service.
5. AI output: your responsibility to verify
The assistant's replies are generated by artificial intelligence. AI output can be wrong, incomplete, or invented, even when it sounds confident. We build technical safeguards, but we do not and cannot warrant that any reply is accurate. By using the service you accept that:
- You are responsible for reviewing the assistant's activity and for verifying prices, stock, availability, delivery promises, and any other commitments before honoring them.
- A reply generated by the assistant is not a binding offer by YunaChat, and YunaChat is not liable for business outcomes that follow from an inaccurate reply.
- You will configure your catalog and business information accurately, since the assistant answers from what you provide.
6. No professional advice
The assistant is a sales and customer-service tool. It is not a professional adviser. Nothing the assistant says, and nothing on this site or in the product, is legal, financial, tax, insurance, investment, medical, or other regulated professional advice, and none of it should be relied on as such. You accept that:
- If your business operates in a regulated field (for example insurance, financial services, investment, healthcare, or law), you are responsible for ensuring that whatever you configure the assistant to say complies with the rules that govern your profession, including any licensing, disclosure, and suitability requirements.
- Any recommendation, quote, or representation the assistant makes to your customers is made on your behalf and is your statement, not ours. You are responsible for it.
- Where your market requires a professional disclaimer, a licensed human in the loop, or a specific approval before a statement is made, you must provide it. The product gives you the tools to set your assistant's scope; using them correctly is your responsibility.
7. Messaging platforms
The service operates on third-party messaging platforms (for example WhatsApp, Facebook Messenger, and Instagram). Those platforms belong to their operators and are governed by their own terms and policies, which you must comply with, including their commerce and messaging policies. You acknowledge that:
- A platform may restrict, suspend, or ban an account or number at its own discretion, and platform rules and enforcement practices change over time.
- YunaChat does not control platform enforcement and is not liable for restrictions, suspensions, bans, outages, or policy changes imposed by a platform, or for any business loss that follows from them.
- Where automated messaging requires disclosure or consent in your market, you are responsible for meeting those requirements. The product includes an automated-assistant disclosure option, and you agree not to use the service to deceive your customers about whether they are talking to a machine.
8. Third-party services
The service is built on third-party infrastructure, including the artificial-intelligence models that generate the assistant's replies, cloud hosting, and the other providers listed as processors in the Privacy Policy. These providers are outside our control. You acknowledge that:
- We may change, add, or replace any third-party provider, including the underlying AI model, at any time to keep the service working, secure, and sustainably priced. The assistant's tone or wording may shift as a result, and we do not guarantee any particular model or provider.
- We are not liable for downtime, degraded performance, changes, price increases, or discontinuation by a third-party provider, or for any business loss that follows from them. Where a provider fails, we will use reasonable efforts to restore or replace the affected part of the service, but we do not warrant uninterrupted availability.
- Your use of the service remains subject to the relevant third-party providers' own terms where those apply to you.
9. Acceptable use and prohibited goods
You agree to use the service only for lawful purposes. You must not use YunaChat to:
- Send spam or unsolicited bulk messages, or message people who have not contacted your business or consented to be contacted.
- Sell or promote: illegal drugs or drug paraphernalia; weapons, ammunition, or explosives; counterfeit or stolen goods; prescription medicines without authority; tobacco, vape, or alcohol products where restricted; unlicensed gambling; adult content or services; protected wildlife or wildlife products; or any goods or services that are illegal where you or your customers are located.
- Sell anything prohibited by the commerce policies of the messaging platform the conversation runs on.
- Harass, defraud, or deceive any person, or impersonate another business.
- Probe, disrupt, or reverse engineer the service, or resell access to it without our written agreement.
- Deliberately generate abnormal or automated AI usage, or use the assistant for purposes unrelated to your own business's customer conversations (for example as a general-purpose AI chat service).
You attest that your business and catalog comply with this section. We may remove content, pause the assistant, or suspend or terminate an account that breaches it. You agree to indemnify us and hold us harmless against claims, losses, and costs (including reasonable legal fees) arising from your breach of these Terms, your catalog or content, your products or services, or your violation of law or of platform policies.
10. Fair use of AI
Each plan includes a generous AI usage allowance designed to cover normal selling conversation volume for that plan size. To keep the service reliable and fairly priced for everyone:
- Abnormal, abusive, or runaway usage patterns may be slowed, capped, or paused. Doing so is not a breach of these Terms and does not entitle you to a refund outside section 4.
- If your genuine usage consistently exceeds your plan's allowance, we may ask you to upgrade to a plan that matches your volume.
- Reaching a limit reduces or pauses automated activity; it never creates surprise overage charges.
- Where a plan is described as "unlimited", that means no fixed cap on normal conversation volume; it remains subject to this section.
11. Data
- Data handling, retention, deletion, and the list of our service providers are described in the Privacy Policy, which forms part of these Terms.
- You warrant that you are entitled to have your customer conversations processed by the service, and that you will honor your own privacy obligations to your customers.
- Your catalog, content, and customer relationships remain yours. The platform, its software, and its models remain ours or our licensors'. You grant us the license needed to operate the service on your content.
- You may give us feedback; we may use it without obligation.
12. Termination
- You may cancel at any time. Refunds follow section 4.
- We may suspend or terminate the service for breach of these Terms, for legal risk, or for non-payment, with notice where practical.
- On termination we delete or return your data on request, per the Privacy Policy, except records we must keep by law.
13. Disclaimers and limitation of liability
The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the service will be uninterrupted, error free, or that AI output will be accurate.
To the maximum extent permitted by law: we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost sales, lost data, or loss of goodwill, even if advised of the possibility; and our total aggregate liability for all claims arising out of or relating to the service is capped at the subscription fees you paid us in the three months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
14. General
- Time to bring a claim. To the extent permitted by law, any claim you bring arising out of or relating to the service must be brought within twelve months after the event giving rise to it. If applicable law does not allow this limit, the shortest period that law permits applies instead.
- Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including internet, hosting, or platform outages, the failure or change of a third-party provider or AI model, acts of government or regulators, power or network failures, natural disasters, pandemics, or labour disruption.
- Severability. If any provision of these Terms is held invalid or unenforceable, that provision is limited or removed to the minimum extent necessary and the rest of the Terms stay in full force. In particular, if the limitation of liability in section 13 is found unenforceable in part, the remaining limitations continue to apply.
- No waiver. If we do not enforce a provision of these Terms, that is not a waiver of our right to enforce it later.
- Entire agreement. These Terms, together with the Privacy Policy and the plan details shown at purchase, are the entire agreement between you and us about the service, and they replace any earlier understanding on the subject.
15. Changes to these Terms
We may update these Terms as the product and the law evolve. We will post the new version here with an updated date, and for material changes we will notify account holders by email or in the product. Continued use after a change takes effect is acceptance of the new Terms.
16. Assignment
We may assign or transfer these Terms, together with your account and the data needed to keep providing the service, to a successor entity that continues the business, for example as part of a corporate restructuring. The successor will honor these Terms and the Privacy Policy, and we will notify account holders of the transfer. You may not assign these Terms without our written consent.
17. Governing law
These Terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction over disputes arising from them, subject to any mandatory consumer protections that apply in your location.
